Terms of Use Agreement (“Agreement”)

Effective Date: February 27, 2025

Welcome to the Best Movies by Farr website, operated by Farr on Film, LLC (“Farr on Film,” “we,” “us”). These Terms of Use Agreement (“Agreement”) sets forth the legally binding Agreement and conditions for your use of our website, available at (https://bestmoviesbyfarr.com) (including all data, content, and computer code contained on or transmitted from this website, collectively, the “Site”) and the services provided by Farr on Film on the Site (the “Services”).

NOTICE: THIS AGREEMENT CONTAINS A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER. PLEASE READ THESE TERMS CAREFULLY AS THEY AFFECT YOUR LEGAL RIGHTS.

1. Access to the Services and Use of the Site

1.1 By accessing or using the Site or Services, you (“User,” “you,” “your”) agree to be bound by this Agreement and all applicable policies referenced herein. If you do not agree, do not use the Site or Services.

1.2 Farr on Film reserves the right to modify, revise, or update the Site, the Services, and any content, features, or functionality (collectively, “Content”), at any time, including changing, suspending, or discontinuing any portion of the Services. We may also impose limits on certain features or restrict access to parts or all of the Site without prior notice or liability. We may update this Agreement or our policies at any time. We will post any changes on the Site and provide notice through an announcement on the Site’s home page, by email, or by other appropriate means. If you have an active, paid subscription, any changes that materially affect your rights or obligations will not take effect until the start of your next billing cycle, unless required by law. Nothing in this Agreement prevents Farr on Film from modifying, removing, or replacing any Content within the Site or the Services at any time. If we are legally required to provide a refund due to changes that materially affect your paid access, we will do so in accordance with applicable laws. By continuing to use the Site and the Services after notification and after the effective date of any changes, you agree to the revised terms. If you do not agree to the updated terms, your sole remedy is to discontinue your use of the Site and the Services before the effective date of the changes.

1.3 The Site is intended for personal, non-commercial use only. You may not use the Site for commercial purposes or in a manner that competes with Farr on Film. Any use of the Site or the Services not expressly permitted by this Agreement constitutes a breach of this Agreement and may violate copyright, trademark, and other intellectual property or industrial property laws.

2. Eligibility and Account Responsibilities

The Site is offered and available to users who are 18 years of age or older and reside in the United States. We make no claims that the Site (including any of its Content) shall be accessible, legal, or appropriate outside the United States.

By using the Site or the Services, you represent and warrant to Farr on Film that:

You are an individual residing in the United States and of legal age to form a binding contract; or
You are accessing the Site on behalf of an entity and have the legal authority to bind that entity to these Terms.

If you do not meet these requirements, you must not access or use the Site or the Services.

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must promptly notify us of any unauthorized use or security breach. Your use of the Site is also subject to our Privacy Policy, which governs how we collect, use, and protect your information. If you believe that we might have collected any information from a child under 13, please contact us at info@bestmoviesbyfarr.com. In the event that we learn that we have collected personal information from a child under age 13, we will delete that information.

3. Subscription and Payment Terms

3.1 Subscription Services

Certain features of the Site require a paid subscription (“Subscription Services”). By purchasing a subscription, you acknowledge and agree to the following additional terms and any additional terms presented at the time of purchase.

3.2 Billing and Automatic Renewal

Automatic Renewal Consent: By subscribing, you expressly agree that your subscription will automatically renew at the end of each billing cycle (monthly or annually), unless you cancel before the renewal date.
Auto Renewal & Notice:

For monthly subscriptions, you acknowledge that your subscription will automatically renew each month unless canceled.
For annual subscriptions (or plans exceeding 12 months), if offered, we will send you a renewal reminder at least 30 days in advance, as required by law in certain states.
Renewal notices, if required, will be sent to your registered email and will include instructions on how to cancel before renewal.
By continuing to use the Subscription Services after renewal, you agree to the renewal charges at the then-current rate.

Payment Authorization: You authorize Farr on Film to charge your selected payment method for all applicable fees, taxes, and renewal charges at the then-current rate.
Failed Payments: If your payment method is declined, we may attempt to reprocess the payment. If payment remains unsuccessful, your subscription may be suspended or terminated until payment is received.

3.3 Cancellation and Refund Policy

How to Cancel: You may cancel your subscription at any time via your Membership page in the My Account area or by contacting customer support at support@bestmoviesbyfarr.com.
Effective Date of Cancellation: Cancellations take effect at the end of the current billing cycle. You will continue to have access to Subscription Services until your billing period expires.
Refund Policy:

No refunds are provided for partial subscription periods unless required by applicable law.
If we discontinue Subscription Services, you may be eligible for a pro-rata refund of any prepaid, unused fees.
If you reside in a jurisdiction where specific refund rights apply, we will comply with those requirements.

3.4 Price Changes

We reserve the right to adjust subscription pricing. If we change the pricing of Subscription Services, we will provide at least 30 days’ notice before your next billing cycle.
If you continue using the Subscription Services after a price change takes effect, you agree to the new pricing.

3.5 Chargeback Policy and Payment Disputes

Dispute Resolution First: If you believe a charge was made in error, you must first contact our customer support at support@bestmoviesbyfarr.com before initiating a chargeback.

Unauthorized Chargebacks:

Suspend or terminate your account.
Restrict future access to Subscription Services.
Take further collection action as permitted by law.

Chargeback Fees: If a chargeback is reversed or deemed invalid, you remain responsible for payment and may be subject to additional fees imposed by your financial institution.

4. User Conduct and Restrictions

Proper usage of the Site and the Services does not include, and you agree not to:

Use the Site or the Services to distribute or procure the distribution of unsolicited messages, advertising, or promotional materials;
Engage in any conduct that is illegal, counterfeit, stolen, obscene, vulgar, defamatory, libelous, pornographic, offensive, fraudulent, false, misleading, harmful to minors, or disparaging to us or our affiliates;
Use or disseminate malicious or disabling code, including viruses, Trojan horses, worms, time bombs, corrupted files, or bots, or any robot, spider, or other automated means of access or scraping;
Take any action that could disable, overburden, damage, or impair the Site, interfere with any person’s use of the Site, or impose an unreasonable load on our infrastructure;
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server, or any computer or database connected to the Site;
Decompile, reverse engineer, or otherwise attempt to obtain the source code of the Site;
Create a false identity or misrepresent your identity for the purpose of misleading others.

This list is not definitive or complete but is intended to demonstrate some of the prohibited uses.

5. Ownership and Intellectual Property Rights

5.1 Ownership of Site Content

The Site, including all Content is the exclusive property of Farr on Film, LLC and its licensors, or other third parties. This includes, but is not limited to, text, software, source code, images, video, graphics, audio, design, selection, and arrangement of such materials, as well as logos, trademarks, trade names, service marks, and trade dress, including “Farr on Film” and “Best Movies by Farr.”

All Content on the Site is protected by United States and international copyright, trademark, patent, and other intellectual property laws. If you wish to make any use of materials on the Site other than set forth in this section, please contact us at info@bestmoviesbyfarr.com.

5.2 Limited License to Users

Subject to compliance with this Agreement, Farr on Film grants you a limited, non-exclusive, non-transferable, revocable license to:

Access and use the Site for personal, non-commercial purposes only
Download or print a single copy of publicly available content for personal, non-commercial use
Any rights not expressly granted in this Agreement are reserved by Farr on Film.

5.3 Restrictions on Use

You may not:

Copy, modify, distribute, create derivative works of, publicly display, perform, or transmit any Content without prior written permission from Farr on Film
Use data mining, robots, scraping, or similar methods to extract data from the Site
Remove or alter any copyright, trademark, or proprietary notices contained on the Site
Use the Site or its Content for any commercial purpose without express written consent
Any unauthorized use of the Site Content may constitute a violation of copyright, trademark, or other applicable laws and may result in termination of your access to the Site.

5.4 Trademarks and Brand Protection

The names, logos, slogans, and trade dress of “Farr on Film” and “Best Movies by Farr” are protected trademarks of Farr on Film, LLC. Unauthorized use of these trademarks in domain names, social media accounts, advertising, or third-party sites is strictly prohibited.

You may not use any trademarks, service marks, or other proprietary marks of Farr on Film in any manner that suggests affiliation, sponsorship, or endorsement without express written permission.

5.5 Copyright Infringement and DMCA Notice

Farr on Film respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe that any Content on the Site infringes your copyright, you may submit a DMCA notice to our designated agent with the following information:

A physical or electronic signature of the copyright owner or an authorized representative
Identification of the copyrighted work claimed to be infringed
Identification of the material that is claimed to be infringing and its location on the Site
Your contact information, including an email address, mailing address, and telephone number
A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf

Farr on Film reserves the right to remove or disable access to allegedly infringing content and to terminate accounts of repeat infringers as required by law.

6. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Farr on Film, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including attorneys’ fees) arising from your:

Use of the Site or Services;
Violation of this Agreement;
Infringement of any third-party rights, including intellectual property, privacy, or publicity rights; or
Uploading or transmitting of any harmful content, viruses, or unauthorized software.

This indemnification obligation shall survive the termination of your use of the Site and Services.

7. Disclaimer of Warranties

7.1 THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING SENTENCE, THE SITE AND ITS CONTENTS MAY CONTAIN ERRORS OF PUBLICATION, TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS.

Farr on Film does not guarantee:

The accuracy, reliability, or completeness of any content on the Site;
Uninterrupted, secure, or error-free operation of the Site or Services; or
That the Site or Services will be free of viruses or harmful components.

7.2 The Site may include links to third party websites that are not owned or controlled by Farr on Film. These links are provided for your convenience only and if you access any such websites, you do so entirely at your own risk and subject to the terms and conditions of such websites. You acknowledge and agree that we have no control over, and assume no responsibility for, the content, accuracy, policies or practices of any such third party websites, or for any content, opinions, products or services made available through such websites. Your interactions with third party websites linked to the Site, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such third parties. You agree that Farr on Film shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings.

7.3 To the fullest extent permitted by law, you release Farr on Film from any and all claims, demands, and damages (actual and consequential) arising out of or in any way connected with your use of the Site or Services.

California Residents: If you are a California resident, you waive California Civil Code Section 1542, which states:

“A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.”

By agreeing to this waiver, you acknowledge that you may be waiving rights with respect to unknown claims.

8. Limitation of Liability

To the fullest extent permitted under applicable law, in no event shall Farr on Film, its affiliates, licensors, or their respective officers, directors, employees, or agents be liable to you or any other person for damages of any kind, under any legal theory, including but not limited to contract, tort (including negligence), or otherwise, including any special, indirect, incidental, consequential, lost profits, loss of data, exemplary, or punitive damages, as a result of any claims related to access to or use of the Site, the Services, or any websites linked to the Site, or any content on the Site or linked websites. If Farr on Film is found liable to you, our total cumulative liability shall not exceed the amount you paid for Services in the prior twelve (12) months or $50 (US), whichever is greater.

9. Dispute Resolution and Governing Law

9.1 You waive any right to participate in a class action or class-wide arbitration.

9.2 Any disputes or claims that arise from or in connection with this Agreement shall be settled by binding arbitration administered by the American Arbitration Association, under the Arbitration Rules then in effect, and determined by three (3) arbitrators appointed in accordance with said Rules. The place of arbitration shall be New York, New York, and the language to be used in any arbitration shall be English. The arbitration proceedings and the resolution thereof shall be completely confidential, subject only to disclosures that may be required by law or necessary to enforce an award. The award rendered in connection with such arbitration shall be final and binding upon the parties hereto and may be entered in a court (state or federal) of competent jurisdiction within the County of New York, State of New York or any court having jurisdiction thereof. The parties consent to the jurisdiction of any such court and waive any objection they may have in any action before such courts based on lack of personal jurisdiction, improper venue or inconvenient forum. Notwithstanding the foregoing, each party shall have the right to institute an action in a court of proper jurisdiction for injunctive or other equitable relief pending a final decision by the arbitrator.

9.3 This Agreement shall be construed and interpreted in accordance with the laws of the State of New York, without regard to conflicts of law principles. Each party consents to the jurisdiction of any state or federal court located within New York County, New York, for the purpose of enforcing any arbitration award or seeking injunctive or equitable relief.

10. Termination and Suspension

10.1 Farr on Film may immediately terminate or suspend your access to all or any part of the Site or the Services, and may remove any Content or third-party links at any time with or without cause. Grounds for termination include, but are not limited to:

Violations of applicable laws, this Agreement, or any incorporated policies;
Use of illegal, obscene, or objectionable conduct, or repeated complaints from other users regarding your conduct; or
Violation of any person’s rights, including intellectual property rights.

10.2 Upon termination of your access to the Site and Services, your right to access and use the Services and any Content will immediately cease. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability.

10.3 We may terminate or suspend your access to the Site or Services for any violation of this Agreement or applicable law. Sections regarding intellectual property, indemnity, disclaimers, limitations of liability, and dispute resolution shall survive termination.

11. Disclosure

Farr on Film aims to provide unbiased reviews, but we may earn revenue through affiliate links, sponsored posts, and advertisements.

Affiliate Links: Some links on the Site, including those to Amazon, eBay, and other retailers, are affiliate links, meaning we may earn a commission if you make a purchase through them. This does not influence our reviews, and we disclose affiliate links near or within relevant content, as required by the FTC.
Sponsored Content: Some posts are sponsored, meaning a company has compensated us with cash, gifts, or other value in exchange for featuring their product or service. Sponsored content will always be clearly labeled as such within the post.
Third-Party Ads & Links: The Site may display advertisements and third-party links, which we do not control, endorse, or guarantee. Clicking on these links is at your own discretion, and we encourage reviewing the privacy policies and terms of any third-party sites you visit.

12. General

The provisions of this Agreement are severable. If any part of this Agreement is found to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed replaced by a valid, enforceable provision that most closely matches the intent of the original provision. This Agreement, including the policies incorporated by reference herein, is the entire agreement between you and Farr on Film and supersedes any other oral or written communications, agreements or representations with respect to the subject matter contained herein. Nothing in this Agreement creates or is intended to create any third-party beneficiary rights of the User.
